Ethical Management

THC has drawn up the Corporate Governance Best Practice Principles, Ethical Corporate Management Best Practice Principles, Ethical Conduct Codes of Directors and Managers, Whistleblowing Procedures for Violations of Ethical Corporate Management, Human Rights Policy, and appropriate prevention measures against corruption and malfeasance. All THC Directors, senior management, and employees are committed to thoroughly implementing such policies. To maintain proper internal control, the Auditing Office is responsible for regularly assessing our internal operating procedures and conducting audits based on the established duties and responsibilities of various departments. This helps us establish a supervisory mechanism to prevent unethical and improper behaviors within the company. We take any instances of corruption or malfeasance seriously and have appropriate prevention measures in place to address such issues. In addition, we cooperated, signed, and formulated standards through stakeholders to comply with the policy of integrity and honesty, and anti-corruption.

Whistle-blowing Procedures for Violations of Ethical Corporate Management

To implement the ethical management policy and actively prevent unethical conduct, the General Administration Department set up Whistle-blowing Procedures for Violations of Ethical Corporate Management on July 24, 2018 which has been implemented after approval by the Chairman/General Manager to build up the policy of the Company’s internal and external whistle-blowing channels and procedures.

Ethical Management Policy Promotion and Complaints Procedure

All complaints for the company are directed to the General Manager mailbox, the audit complaint mailbox, the workplace violence complaint mailbox of the Labor Safety and Health Department and the Human Resources Department, and the related stakeholder communication channels.

In 2023, the THC contact person of employees, customers, and suppliers had not received any complaints with names.

Policy Advocacy and Promotion in 2023

  1. Each new employee receives integrity governance and human rights advocacy on their first day of joining.
  2. Regular annual sessions are held for middle and senior management to educate on preventing insider trading, along with occasional seminars on integrity governance.
  3. Integrity governance is advocated during department meetings and executive management meetings, with a requirement for all members to adhere to these principles.
  4. On March 8, 2024, the Audit Director will report to the Board of Directors on the "2023 Integrity Governance Implementation Status."
